Notice to Shareholders To: Shareholders of The Post Publishing Public Company Limited
Notice is hereby given that the 2000 Annual Ordinary General Meeting of the Shareholders of The Post Publishing Public Company Limited shall be held on Friday, 28 April 2000, at 11.00 a.m. in the Conference Room, 8th floor, Bangkok Post Building, 136 Na Ranong Road, Khwaeng Klong Toey, Khet Klong Toey, Bangkok Metropolis, Thailand, when the following business will be transacted, viz:
1. To consider approval of the Minutes of the 1999 Annual Ordinary General Meeting of the Shareholders of the Company held on Friday, 30 April 1999. Opinion of the Board: The Board of Directors recommends that the Minutes should be approved.
2. To receive the Report of the Board of Directors and consider the Company's Balance Sheet as at 31 December 1999 and Statement of Income and Retained Earnings for the year ended on said date, with Auditors' Report thereon dated 11 February 2000. Opinion of the Board: The Board of Directors recommends that the audited financial statements for the year ended 31 December 1999 should be approved.
3. To consider payment of dividend. Opinion of the Board: The Board of Directors recommends a final dividend payment of Baht 1.50 per share for the period ended 31 December 1999 and final appropriation of Baht 2,267,041 to the Company's Statutory Reserve. If approved, (i) the date on which shares will close for registration is 10 May 2000 at noon, and (ii) payment will be made on 25 May 2000. (Note: The Company paid an interim dividend of Baht 1.50 per share on 14 January 2000 and in respect of 1999 profits has already appropriated Baht 2,900,000 to Statutory Reserve.) Therefore, the Board of Directors recommends approval of a total dividend in respect of 1999 of Baht 3.00 per share, or Baht 150 million, and appropriation to Statutory Reserve of Baht 5,167,041.
4. To consider the remuneration of the Board of Directors of the Company. Opinion of the Board: The Board of Directors recommends the meeting to determine the remuneration of the Board of Directors for the year 2000 and empower the Board of Directors to consider the allocation of such remuneration for each directors as they deem fit.
5. To elect new directors and determine the number of directors of the Company. (Note: Mr. Owen R. Jonathan, Dr. Kantathi Suphamongkhon, Mr. Attapong Kateratorn, Mr. Worachai Bhicharnchitr, and Mr. Ian J. Fawcett retire by rotation.) Opinion of the Board: The Board of Directors recommends re-election of all directors who offer themselves for re-election.
6. To appoint an auditor to audit the Company's books and accounts for its year ending 31 December 2000 and to fix his or her remuneration. Opinion of the Board: On the advice of the Audit Committee, the Board of Directors recommends that Mr. Suchart Luengsuraswat, Certified Public Accountant (Thailand) No. 2807, Miss Somsri Dhanyacheevee, Certified Public Accountant (Thailand) No. 1905, and Mrs. Unakorn Phruithithada, Certified Public Accountant (Thailand) No. 3257 of PricewaterhouseCoopers Audit and Business Advisory Services Limited be appointed as the Company's auditor for the fiscal year 2000, any one being authorised to conduct the audit and express an opinion on the annual financial statements of the Company, at a fee of Baht 650,000. In the absence of the above-named auditors, PricewaterhouseCoopers Audit and Business Advisory Services Limited is authorised to identify one other Certified Public Accountant with PricewaterhouseCoopers Audit and Business Advisory Services Limited to carry out the work.
7. To consider any other business that may be properly brought before the meeting.
This notice is issued at Bangkok Metropolis, Thailand, on 15 March 2000.
